Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms" or "Agreement") govern your access to and use of the website, mobile applications, and services provided by TaxTask Technology Ltd ("TaxTask", "we", "us", or "our") (the "Service"). By accessing or using the Service, registering an account, executing an order form, or otherwise indicating your acceptance, you agree to be bound by these Terms.

If you are entering into this Agreement on behalf of a company or other legal entity ("Entity"), you represent and warrant that you have the authority to bind such Entity to these Terms, in which case "you" or "your" shall refer to such Entity. If you do not have such authority or do not agree with these Terms, you must not access or use the Service.

These Terms incorporate by reference our Privacy Policy, which governs the collection, use, and protection of your data in accordance with the Nigeria Data Protection Regulation (NDPR), the Nigeria Data Protection Act 2023 (NDPA), and other applicable laws.

2. Definitions

For the purposes of these Terms, the following capitalized terms shall have the meanings set forth below:

  • Account: The user account created by you to access the Service.
  • Affiliate: Any entity that directly or indirectly controls, is controlled by, or is under common control with a party.
  • Aggregated De-Identified Data: Data derived from Customer Data that has been anonymized and aggregated such that it cannot identify any specific individual or entity.
  • Customer Data: All data, information, content, materials, and inputs provided, uploaded, or transmitted by you or on your behalf in connection with the Service, including transaction data, tax-related information, and personal data.
  • Documentation: Any user guides, manuals, or other materials provided by TaxTask describing the functionality, use, and requirements of the Service.
  • Feedback: Any suggestions, ideas, enhancements, or other feedback provided by you regarding the Service.
  • Force Majeure Event: Any event beyond a party's reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
  • FIRS: Federal Inland Revenue Service (and references to Nigerian tax authorities include state revenue authorities where applicable).
  • Order Form: A document or online order executed by the parties (or accepted electronically) specifying the Services to be provided, fees, term, and other applicable terms.
  • Service(s): The tax compliance automation platform provided by TaxTask, including tax calculation, FIRS-compliant electronic invoice generation and submission, integration with bank accounts and POS systems, tax filing preparation and deadline management, multi-client management, and related features, as specified in the Documentation or an Order Form.
  • Subscription Term: The initial term and any renewal periods as specified in an Order Form or your plan.
  • Third-Party Services: Any external services, APIs, websites, or integrations not provided by TaxTask but accessible through or integrated with the Service (e.g. accounting software, e-commerce platforms, payment providers).
  • User Content: Has the same meaning as Customer Data where used in the context of content you submit; otherwise, data, documents, and content you submit to the Service.
  • You / Your: The individual or Entity accessing or using the Service.

3. Description of Service

Subject to your compliance with these Terms and payment of applicable fees, TaxTask grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the Subscription Term (or, if no Order Form, during the period you use the Service) to access and use the Service solely for your internal business purposes related to tax compliance under Nigerian laws, including value-added tax (VAT), withholding tax (WHT), companies income tax (CIT), personal income tax, and other applicable taxes administered by FIRS or state revenue authorities.

The Service includes:

  • Automatic VAT, WHT, and CIT calculation
  • FIRS-compliant electronic invoice generation and submission
  • Integration with bank accounts and POS systems
  • Tax filing preparation and deadline management
  • Multi-client management for accountants
  • Support and maintenance as specified in your plan or Order Form

TaxTask may provide updates, enhancements, or modifications to the Service at its discretion and will use commercially reasonable efforts to notify you of material changes that may affect your use. TaxTask acts as your agent solely for the purpose of facilitating electronic filings with tax authorities where applicable; you authorize us to transmit your data as necessary for this purpose. You remain solely responsible for verifying the accuracy of all filings, maintaining sufficient funds for tax payments, and complying with all tax obligations under Nigerian law.

The Service may be provided on a subscription basis and may be subject to usage limits (e.g. number of transactions or clients) as specified in your plan or Order Form. Overage fees may apply as described at the time of sign-up or in the Order Form.

4. Account Registration

To use certain features, you must register for an Account. You agree to:

  • Provide accurate, current, and complete information when creating your Account and update it as necessary
  • Maintain the security and confidentiality of your Account credentials and notify TaxTask promptly of any unauthorized access or security breach
  • Accept responsibility for all activity under your Account
  • Cooperate with TaxTask in resolving any issues related to the Service

You must not access or use the Service if you are under 18 years of age or otherwise ineligible under Nigerian law.

5. User Obligations and Restrictions

You agree to use the Service in compliance with these Terms, the Documentation, applicable Nigerian laws (including tax laws, data protection laws under the NDPA, and anti-money laundering regulations), and any Order Form. You agree to pay all applicable fees and taxes (including withholding taxes under Nigerian law) on time.

You warrant that you have all necessary rights, consents, and authorizations to provide Customer Data, including any personal data, and that such provision complies with the NDPA and other data protection laws.

You shall not: reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service; copy, modify, adapt, translate, or create derivative works based on the Service; rent, lease, sublicense, sell, or transfer the Service or any rights granted hereunder; introduce viruses, malware, or other harmful code; interfere with or disrupt the integrity or performance of the Service; use the Service to compete with TaxTask or to build a similar product; or remove, alter, or obscure any proprietary notices or labels on the Service.

6. Acceptable Use

You must not use the Service to violate any applicable law or regulation; submit false, misleading, or fraudulent information to us or to tax authorities; attempt to gain unauthorized access to the Service or others' accounts; interfere with or disrupt the Service or its infrastructure; transmit viruses, malware, or other harmful code; use the Service for tax evasion or any illegal purpose; resell or sublicense the Service without our written consent; or scrape, crawl, or automate access in a way that burdens our systems.

We may suspend or terminate your access if we reasonably believe you have breached this section or our Acceptable Use Policy. For full details, see our Acceptable Use Policy.

7. Fees and Payment

Fees for the Service ("Fees") are as specified in your plan, on our pricing page, or in an Order Form. Fees may be based on subscription tiers, usage volumes, or other metrics. All Fees are quoted in Nigerian Naira (NGN) unless otherwise specified and are exclusive of applicable taxes, duties, or levies (e.g. value-added tax at the prevailing rate under Nigerian law).

You agree to pay Fees in advance or as specified in your plan or Order Form (e.g. monthly or annually) via the payment method we accept (e.g. bank transfer, card, or electronic payment platforms). Invoices will be issued as agreed, and payment is due within 30 days of the invoice date unless a different period is specified. Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by Nigerian law, whichever is lower.

Fees are non-refundable except in cases of termination for our material breach as provided in Section 15. We may adjust Fees upon renewal of the Subscription Term with at least 30 days' prior notice. You are responsible for all taxes on the Fees (excluding taxes on our net income). If you dispute any invoice, you must notify us in writing within 60 days of receipt; otherwise, the invoice is deemed accepted.

In the event of non-payment exceeding 60 days, we may suspend your access to the Service until payment is received, without liability to you.

8. Intellectual Property

TaxTask retains all right, title, and interest in and to the Service, including all software, algorithms, Documentation, updates, and any related intellectual property rights. No rights are granted to you except as expressly set forth in these Terms. You may not copy, modify, or create derivative works of the Service without our written permission.

9. User Content and Data

You retain ownership of your Customer Data. By providing Customer Data, you grant TaxTask a worldwide, royalty-free, non-exclusive license to access, use, store, process, copy, modify, distribute, and disclose Customer Data as necessary to provide, maintain, and improve the Service, comply with legal obligations, and generate Aggregated De-Identified Data.

TaxTask may use Aggregated De-Identified Data for any purpose, including benchmarking, research, and product improvement, provided it does not identify you or any individual.

If you provide Feedback, you grant TaxTask a perpetual, irrevocable, royalty-free, worldwide license to use, incorporate, and commercialize such Feedback without compensation or attribution.

You are responsible for ensuring you have the right to submit all Customer Data and that it does not infringe any third-party rights. Our use of personal data is further described in our Privacy Policy.

10. Third-Party Integrations

The Service may integrate with Third-Party Services (e.g. accounting software, e-commerce platforms, payment providers). You are responsible for complying with the terms of such Third-Party Services and warrant that you have the right to connect them to our Service. TaxTask does not endorse, warrant, or control Third-Party Services and is not liable for any issues arising from their use, including data accuracy, availability, or security.

If a Third-Party Service ceases to be available or changes its terms, it may affect the Service, and we may modify or discontinue affected features without liability.

11. Data Privacy and Security

Our collection, use, storage, and disclosure of personal data are governed by our Privacy Policy and comply with the NDPA and NDPR, as administered by the Nigeria Data Protection Commission (NDPC). We implement reasonable technical, administrative, and physical safeguards to protect Customer Data from unauthorized access, loss, or disclosure, consistent with industry standards and Nigerian regulations.

You consent to the transfer, processing, and storage of Customer Data in secure data centers, which may be located outside Nigeria, subject to adequate data protection measures under the NDPA.

In the event of a data breach affecting your data, we will notify you and relevant authorities as required by law. You are responsible for obtaining all necessary consents for processing personal data in Customer Data. Upon termination, we may retain copies of tax filings as required by law and delete other Customer Data in accordance with our Privacy Policy (typically within 90 days after termination unless a longer retention is required by law).

12. Disclaimer of Warranties; No Tax Advice

TaxTask warrants that (i) the Service will substantially conform to the Documentation during the Subscription Term, and (ii) we will use commercially reasonable efforts to ensure the Service is free from viruses or harmful code. Except as expressly set forth above, the Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation, and downtime may occur due to maintenance, updates, or Force Majeure Events.

TaxTask does not provide tax, legal, or accounting advice. The Service is a tool to assist with tax compliance. You remain solely responsible for the accuracy of your data and filings and for consulting a qualified tax professional or the Federal Inland Revenue Service (FIRS) where appropriate. We are not liable for any penalties or losses arising from your tax obligations.

13. Limitation of Liability

To the maximum extent permitted by Nigerian law, in no event shall TaxTask, its Affiliates, directors, employees, agents, or suppliers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, revenue, data, goodwill, business opportunities, or tax penalties, whether in contract, tort (including negligence), or otherwise, even if advised of the possibility of such damages.

TaxTask's aggregate liability arising out of or related to these Terms or the Service shall not exceed the fees paid by you to TaxTask in the twelve (12) months preceding the event giving rise to the claim.

These limitations apply notwithstanding any failure of essential purpose of any limited remedy. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Nigerian law.

14. Indemnification

You agree to defend, indemnify, and hold harmless TaxTask, its Affiliates, officers, directors, employees, agents, and suppliers from and against any claims, actions, demands, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising from or related to: (i) your breach of these Terms; (ii) your use or misuse of the Service; (iii) Customer Data, including any infringement of third-party rights or violation of laws; (iv) your tax obligations or filings; or (v) your integration with or use of Third-Party Services.

We will provide prompt notice of any such claim and, at our option, allow you to control the defense and settlement, provided you do not settle any claim without our prior written consent if it admits liability on our part or requires us to take or refrain from any action.

TaxTask shall indemnify you against third-party claims that the Service, when used in accordance with these Terms, infringes a valid Nigerian or other applicable patent, copyright, or trademark, subject to you providing prompt notice, reasonable cooperation, and sole control of the defense to TaxTask. This indemnity does not apply to the extent the claim arises from your misuse, modification, or combination of the Service with materials not supplied by TaxTask.

15. Term and Termination

This Agreement commences on the date you first access the Service or accept an Order Form and continues until your Subscription Term expires or is terminated. Subscription Terms may auto-renew for successive periods equal to the initial term unless either party gives written notice of non-renewal at least 30 days before the end of the then-current term.

You may close your Account at any time. Either party may terminate this Agreement or any Order Form: (i) for material breach by the other party, upon 30 days' written notice if the breach is not cured within that period; or (ii) immediately if the other party becomes insolvent, enters bankruptcy, or ceases operations. We may suspend or terminate your access immediately for non-payment exceeding 60 days, violation of these Terms or our Acceptable Use Policy, or if required by law or to prevent harm to the Service or others.

Upon termination: (i) all licenses granted to you cease; (ii) you must pay all outstanding Fees; (iii) we may delete your Customer Data after the retention period described in our Privacy Policy (typically 90 days), except as required by law; and (iv) sections that by their nature survive (including Fees, Intellectual Property, User Content license, Limitation of Liability, Indemnification, Governing Law, and this paragraph) shall continue in effect.

16. Changes to Terms

We may update these Terms from time to time by posting the revised Terms on this page or notifying you via email or in-product notice. Changes will be effective 30 days after such notice unless a shorter period is required by law. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree, you must stop using the Service and terminate your Account before the effective date. We will update the "Last updated" date at the top of this page.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms or the Service shall first be resolved through good-faith negotiations. If the dispute is not resolved within 30 days, it may be submitted to binding arbitration under the rules of the Lagos Court of Arbitration (LCA), conducted in Lagos, Nigeria, by a single arbitrator. The arbitration award shall be final and binding. Notwithstanding the above, either party may seek injunctive or equitable relief in the courts of Lagos State, Nigeria, to protect intellectual property rights or to prevent irreparable harm. You agree to the exclusive jurisdiction of the courts in Lagos, Nigeria, for any non-arbitrable matters.

The prevailing party in any dispute shall be entitled to recover reasonable attorneys' fees and costs to the extent permitted by law.

18. Miscellaneous

  • Entire Agreement: These Terms, together with any Order Forms and the Privacy Policy and Acceptable Use Policy incorporated by reference, constitute the entire agreement between the parties and supersede all prior understandings. In case of conflict between an Order Form and these Terms, the Order Form prevails for the subject matter of that Order Form.
  • Assignment: You may not assign these Terms without our prior written consent, except in connection with a merger or acquisition of all or substantially all of your assets. We may assign these Terms without your consent.
  • Force Majeure: Neither party shall be liable for delays or failures in performance caused by a Force Majeure Event, provided the affected party uses reasonable efforts to mitigate.
  • Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in effect.
  • Waiver: No waiver of any breach shall constitute a waiver of any other or subsequent breach.
  • Notices: Notices shall be in writing and delivered via email (to the address associated with your Account or as you specify) or registered mail. Notices to you are effective when sent; notices to us are effective when received.
  • No Agency: Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and TaxTask.
  • Export and Compliance: You agree to comply with Nigerian export control and sanctions laws and not to use or make the Service available in any jurisdiction where prohibited.
  • Government Use: If you are a government entity, these Terms apply without modification unless otherwise agreed in writing.
  • Marketing: We may use your name and logo in marketing materials (e.g. customer list, case studies) unless you object in writing to [email protected].
